OUTLINE

This seminar offers a comprehensive guide to navigating the complexities of buying or selling a practice, bringing on (or becoming) an associate or junior partner, and related issues. We cover everything from the basics, like "when is the right time to retire?", to specifics, such as how practices are appraised and how to structure the sale or buy-in to maximize tax benefits. Both buyers and sellers will gain insights into structuring fair transactions, avoiding common pitfalls, and maximizing long-term benefits. Often, both parties attend this seminar together to learn the issues and how they can be fairly resolved. By the end, you'll have a clear roadmap for successfully managing a practice transition, with a focus on financial, legal, and tax considerations.

COURSE OUTLINE:
The seminar will cover the pros and cons of the various issues from each side's point of view. This is a no-nonsense, intensive course which will include such topics as:

  • When is the right time to retire?
  • Finding a buyer or seller with or without a broker
  • How practices are valued and how transactions are structured to maximize tax benefits
  • Associate to partner – compensation, non-competes and the buy-in discussion
  • The common blunders doctors make when selling or taking on a partner or associate
  • Key partnership concepts: allocation of earnings and profits, voting, and a partner's exit
  • DSO vs. traditional sales – when the DSO could make sense
  • Post-sale considerations and preparing for retirement

Upon completing this course, the attendee will be able to:

  • Take the appropriate steps to prepare to sell or buy their practice.
  • Exercise common practice valuation methods.
  • Know how to apply for financing and have an understanding of financing strategies.
  • Apply basic contract negotiation strategies.
  • Communicate effectively with their consultant or attorney to ascertain their preferred legal and tax structure for their practice transition.
  • Better understand the tax implications and benefits that are associated with buying (into) or selling a practice.
  • Understand what happens to a corporation at retirement.

The track at Barber Motorsports Park is one of the premier racing circuits in the world. This 2.38 mile, 16 turn course features a wide variety of challenging turns and elevation changes. In addition to hosting major events such as the Indy Car Series and the MotoAmerica Superbike Series, it is also home of the official US driving school of Porsche.

The Barber Motorsports Park features not only one of the most popular racetracks on the IndyCar circuit, but also a five-story museum awarded by the Guinness Book of World Records. The Barber Vintage Motorsports Museum features the largest collection of motorcycles and Lotus race cars in the world. The museum’s architecture itself is unique and beautiful for guests visiting from all of over the world. All Porsche Track Experience participants have an opportunity to visit the Barber Museum free of charge at the conclusion of their scheduled course.

*NOTE: Regarding non-driving guests, we can accommodate up to 6 non-driving guests for a fee of $150/day. This $150 includes dinner on the first evening.

With respect to riding, guest are not allowed to ride in the car with their significant other at any time. They will have an opportunity to take a ride with one of our instructors for a hot lap ride at the end of day 2.

Spouses who are not driving can absolutely attend the dinner. There is a dinner fee of $100/person for anyone attending the dinner as a guest of a driving participant.

This fee includes Breakfast / Lunch / Dinner on Drive Day 1 and Breakfast / Lunch on Drive Day 2. It also includes the $300 Damage Limitation required for each driver, and complimentary admission to the Barber Vintage Motorsports Museum at the conclusion of driving on Day 2.

Seminar Date:

Please arrive at the meeting room between 8:15 a.m. and 8:30 a.m. on Saturday, Nov. 23, to sign in and receive course materials. The lecture will be held from 8:30 a.m. to 12:30 p.m., break for lunch and resume from 1:30 p.m. to 5:30 p.m. with question-and-answer periods before and after the meeting. Outlines will be used as a guide to the course.

It would be useful to have a list of specific questions ready, but we will also cover the most commonly asked ones in detail during the seminar. All course material will be provided while checking in on the first day. For complete candidness, tape recorders will not be allowed in the program.

The shuttle will depart the Grand Bohemian each day promptly at 7:00AM. Guests are encouraged to be in the lobby around 6:45AM. One of our instructors will be staying at the hotel and will greet your group in the lobby/assist with getting everyone on the shuttle in the morning.
